The elements of strong corporate governance are lucidly explained by author Rick Steinberg with the right balance between conceptual and practical. Too often books in this field are so conceptual as to be close to useless, or so academic as to bear little relation to the complexities of a fast moving real-life corporation. It also indicates an understanding of the costs and effort to get it right, the tradeoffs that must be made, and the scarcity of executive and Board time and comprehension, of complex fast-moving corporate entities. The inclusion of analysis of some of the current controverisies over Board practices--BP and HP for example--render it more alive and timely than many more stultifying entries. As a Chairman or CEO for over 25 years, I can appreciate the scope and practicality of this guide.

The book was an easy read and one that you can go through without putting down. As a risk professional, it was a great reminder of somethings, but also provided enough subject matter expertise that I learned some new ideas and ways of thinking about other things that I already knew. Highly recommend this for any new or mid-level risk managers.

While it's never too late for a current CEO or board member to learn what their responsibilities are to their stockholders, I'd strongly recommend that every undergraduate and graduate business school include this book as required reading. It is written in language that everyone can understand. It includes many current examples of the right and wrong ways companies have approached this subject in a readable fashion that is not boring. Mr STEINBERG has done a masterful job making a subject that appears to most as a unnecessary evil that one has to find a way to deal with into an opportunity for success .

I really like this book. It is an easy ready and a great reference for anyone who wants to understand Enterprise Risk Management (ERM) and governance. In addition, it is a nice resource for Board Members who want to understand their role on overseeing risk and how risk impacts the business. The author is recognized and demonstrates solid knowledge.

Rick Steinberg does a wonderful job describing the strategic underpinnings to a risk management program. Rick's vast knowledge of the subject and deep domain expertise are brought together to provide a framework for risk management to drive corporate success. He shows that risk management is much more than a 'check box' task for executives--it can be a source of tremendous shareholder value.

This book is full of great "war" stories, making the content compelling and easy to disgest. For someone who is not fully conversant with the all the concepts and their application, the book is terrific at communicating what's truly important in governance, risk and compliance. Recognizing it's aimed at more knowledgeable executives and directors, it's still useful for those of us looking to gain expertise.

Steinberg has got it right. His riveting and at times humorous examples of "bad" corporate governance practices should defy the imagination of even the most informed shareholders. Moreover, his insights into exemplary forms of governance are a must read for every CEO and director of a public (as well as private) corporation.
